Terms & Conditions

1. Who you are contracting with

These Terms & Conditions (the "Terms") form a binding agreement between you and VERIDIAN GEOSPATIAL ("Veridian", "we", "us"), trading as Veridian Maritime, in relation to the Veridian website, dashboards, APIs and related services (together, the "Service").

2. Acceptance

By accessing, registering for or using the Service you agree to these Terms. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation. If you do not agree, do not use the Service.

3. The Service

Veridian provides maritime intelligence tooling including port congestion detection, fleet visibility, ocean traceability data and related analytics. Specific features depend on the plan you select. We may update, improve or modify features over time.

4. Accounts

You must provide accurate information and keep your account details current. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

5. Acceptable use

You must not misuse the Service. In particular you must not:

  • use the Service for unlawful, fraudulent or harmful purposes;
  • send spam, malware or attempt to interfere with the security or integrity of the Service;
  • probe, scan or attempt to penetrate the Service, or scrape it at unreasonable volume;
  • infringe the intellectual property rights of Veridian or any third party;
  • resell, redistribute or sublicense the Service without our prior written consent.

6. Intellectual property

The Service, including all software, documentation, data models, dashboards and branding, is owned by Veridian or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected. No other rights are granted.

7. Payments, billing and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

All payments, billing, subscription renewals, applicable taxes, cancellations and refunds are governed by Paddle's Checkout & Buyer Terms. Subscriptions renew automatically at the end of each billing period unless cancelled. You can manage or cancel your subscription via Paddle at paddle.net.

8. Service level

We work hard to keep the Service available and accurate, but we do not guarantee that it will be uninterrupted, timely or error-free. Maritime data is provided "as is" and should not be relied on as the sole basis for safety-critical decisions.

9. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay applicable fees, create security or fraud risk, or repeatedly violate our policies. On termination, your right to use the Service ends and we may delete associated data after a reasonable retention period.

10. Warranties and liability

To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including merchantability and fitness for a particular purpose. To the maximum extent permitted by law, Veridian's aggregate liability arising out of or in connection with the Service is limited to the fees you paid to Paddle for the Service in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special or incidental damages, including loss of profits, revenue, data or goodwill. Nothing in these Terms excludes liability that cannot lawfully be excluded.

11. Indemnity

You agree to indemnify Veridian against claims arising from your unlawful use of the Service, your breach of these Terms, or content you submit through the Service.

12. Changes

We may update these Terms from time to time. If changes are material, we will provide reasonable notice. Continued use of the Service after the changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws applicable at Veridian's principal place of business, without regard to conflict-of-laws principles. Disputes will be submitted to the competent courts of that jurisdiction, unless mandatory consumer law provides otherwise.
